Advising a dozen institutional funds in litigation against TotalEnergies, following the rejection of an advisory resolution to separate the functions of Chairman of the Board and Chief Executive Officer

Context

Every year, we support institutional investors ahead of TotalEnergies’ Annual General Meeting, by filing resolutions on climate issues and, where appropriate, on governance issues.

Last year, we intervened on the dissociation of the functions of Chairman of the Board of Directors and Chief Executive Officer, with the aim of reinforcing the independence of governance and improving the company’s consideration of environmental issues.

However, the Nanterre Commercial Court ruled that this resolution, although advisory, could not be included on the agenda of TotalEnergies’ Annual General Meeting.
