Prior to joining Vermeille & Co, Jens worked for 18 years in international law firms, where he developed in-depth expertise in the aforementioned fields, particularly in the finance and insurance sectors. He has been involved in complex litigations as well as administrative investigations conducted by the Autorité des Marchés Financiers (AMF) and the Autorité de Contrôle Prudentiel et de Résolution (ACPR).

Before founding her own law firm in 2017, Sophie has worked for over ten years for several international law firms, including DLA Piper, Freshfields, Weil Gotshal & Manges and Clifford Chance.

Sophie operates in a variety of fields, including securities law, corporate governance, and corporate restructuring, regularly advising on cases with a strong cross-border dimension.

Coming from an advisory background, she has developed broad expertise in corporate law, securities law, capital markets, financing, and corporate restructuring while working at several leading international law firms.

She gradually expanded her practice to litigation, handling complex cases with the technical expertise acquired during the first phase of her career. She also occasionally handles criminal law matters.

Through this approach, she goes beyond the trend of hyper-specialization in business law and leverages her natural ability to navigate multidisciplinary issues. Having been trained alongside hedge funds, she has incorporated a financial and strategic dimension into her legal expertise, developing strong skills in financial analysis and accounting, particularly as applied to financial litigation.

Her experience has also given her in-depth knowledge of key legal systems, including U.S. securities law, U.S. Chapter 11 bankruptcy law, Delaware corporate law, and English law. Sophie secured the first litigation funding for the Atos case on behalf of both individual and institutional shareholders. She also represents several shareholders in the Casino case.
  • Shareholder activism: Strategic advice to investors in activist campaigns, particularly in implementing strategies to influence corporate governance and maximize shareholder value. Sophie recently assisted Petrus Fund in a campaign against Criteo.

Her expertise has since focused on corporate governance and the protection of minority shareholders. She actively promotes transparent governance practices aligned with international standards.

In addition to her legal work, Sophie teaches at the University of Sorbonne, sharing her expertise in corporate governance.

In 2017, Sophie created Vermeille & Co with the belief that investors’ rights were insufficiently protected, and that the Paris financial center lacked a law firm dedicated to the protection of these rights.
We intervene on legal and financial issues that often involve complex strategic aspects.

From financial regulation to litigation and governance, we have a wide range of legal skills which we complement with our economic and financial understanding of the rule of law.
