Jens Waldner is an experienced lawyer in private and public mergers & acquisitions and corporate litigation, covering in particular the civil liability of corporate officers and statutory auditors, as well as post-acquisition litigation (earn-outs, warranty calls, etc.). Holder of a DESS in business law and a DJCE from the Université Panthéon-Assas, he combines a strategic approach to law with a mastery of financial and regulatory issues.
Career
Prior to joining Vermeille & Co, Jens worked for 18 years in international law firms, where he developed in-depth expertise in the aforementioned fields, particularly in the finance and insurance sectors. He has been involved in complex litigations as well as administrative investigations conducted by the Autorité des Marchés Financiers (AMF) and the Autorité de Contrôle Prudentiel et de Résolution (ACPR).

Jens regularly speaks at conferences in France and abroad on subjects relevant to his practice. He is also a member of the Board of Directors of the Association des Avocats en Droit Boursier (ADB).

After an academic career as an assistant, postdoc, and scientific collaborator (University of Geneva / University Paris 1-Panthéon Sorbonne, PhD), Arthur Huiban specialized in the legal and financial analysis of listed companies.
His legal expertise covers all aspects of financial law at both the French and European levels (corporate law, AMF regulations, and European MAR regulations), addressing issues related to auditing and accounting, corporate governance, capital operations, and financial communication, particularly in situations of debt restructuring, spin-offs, or mergers and acquisitions, with a particular focus on defending minority shareholders’ rights.
This legal profile is complemented by a strong financial expertise and an in-depth knowledge of the IFRS accounting framework and ISA auditing standards. Arthur Huiban’s financial expertise extends from asset valuation (impairment tests using DCF, review of amortization periods, etc.), to the examination of debt and cash positions (particularly hidden debt: financial liabilities recorded as equity or social debt, off-balance sheet commitments, etc.), as well as the evaluation of other balance sheet items (working capital elements, provisions, etc.) and financial aggregates in the income statement (including alternative performance indicators).

Before founding her own law firm in 2017, Sophie has worked for over ten years for several international law firms, including DLA Piper, Freshfields, Weil Gotshal & Manges and Clifford Chance.
Sophie operates in a variety of fields, including securities law, corporate governance, and corporate restructuring, regularly advising on cases with a strong cross-border dimension.
Coming from an advisory background, she has developed broad expertise in corporate law, securities law, capital markets, financing, and corporate restructuring while working at several leading international law firms.
She gradually expanded her practice to litigation, handling complex cases with the technical expertise acquired during the first phase of her career. She also occasionally handles criminal law matters.
Through this approach, she goes beyond the trend of hyper-specialization in business law and leverages her natural ability to navigate multidisciplinary issues. Having been trained alongside hedge funds, she has incorporated a financial and strategic dimension into her legal expertise, developing strong skills in financial analysis and accounting, particularly as applied to financial litigation.
Her experience has also given her in-depth knowledge of key legal systems, including U.S. securities law, U.S. Chapter 11 bankruptcy law, Delaware corporate law, and English law. With this expertise, she helps foreign clientsunderstand the specificities of French law and the differences with their domestic legal frameworks.
Throughout her career, she has advised institutional investors, hedge funds, asset managers, family offices, and individuals on a variety of issues, including:
- Market transactions: Strategic advice to investors on mergers, public offers, mandatory squeeze-outs, and corporate restructurings, integrating in-depth legal, financial, and accounting analyses to optimize decision-making. For example, Sophie has advised funds on transactions involving Veolia, Suez, Vivendi, Casino, Atos, Orpea, EDF, and Neoen.
- Securities litigation: Representation of investors in cases of financial fraud and market abuse, including complex regulatory litigation. Sophie secured the first litigation funding for the Atos case on behalf of both individual and institutional shareholders. She also represents several shareholders in the Casino case.
- Shareholder activism: Strategic advice to investors in activist campaigns, particularly in implementing strategies to influence corporate governance and maximize shareholder value. Sophie recently assisted Petrus Fund in a campaign against Criteo.
- Short selling: Extensive expertise in activist short-selling strategies, particularly in detecting accounting anomalies and addressing regulatory issues related to market abuse regulations.
Sophie holds an LL.M. in Business Law from King’s College London and a Magistère Juriste d’Affaires from the University Paris II-Panthéon Assas.

Sophie founded the think tank Droit & Croissance (Rules for Growth), and has dedicated many years to advancing legal frameworks that enhance economic efficiency and protect investors. In 2009, she was the first in France to advocate for an insolvency law reform inspired by the U.S. Chapter 11 model, playing a key role in shaping the corporate insolvency debate and collaborating with the highest state authorities.
Her expertise has since focused on corporate governance and the protection of minority shareholders. She actively promotes transparent governance practices aligned with international standards.
In addition to her legal work, Sophie teaches at the University of Sorbonne, sharing her expertise in corporate governance.

Guillaume Moulema-Epee is a member of the Paris Bar, specializing in business litigation and international arbitration. Holder of a Magistère Juriste d’Affaires and a DJCE from the University of Paris II Panthéon-Assas, he assists companies and executives in managing complex disputes in contract law, corporate law and civil and commercial liability. After several years in international law firms, he joined Vermeille Avocats in 2025.
Career
Prior to joining Vermeille Avocats, Guillaume practiced at Axipiter, where he managed commercial and corporate litigation involving contractual disputes, shareholder disputes and civil liability cases. He regularly appeared before the courts and contributed to the firm’s development.
Previously, Guillaume practiced with Von Wobeser in Mexico City, where he worked on international arbitrations, notably in connection with the International Chamber of Commerce (ICC). He assisted renowned arbitrators in drafting awards and organizing hearings.
His career also includes experiences with Dechert, Latham & Watkins, Dethomas Peltier Juvigny & Associés and Orrick Rambaud Martel, which have enabled him to hone his expertise in litigation and business law.
